Notice re: Special Resolution to Amend the Bylaws

The Pacific Heights Elementary School Parent Advisory Council intends to resolve to amend its bylaws at a general meeting to be held at 1:00pm on Friday, June 1. In order to amend the bylaws, 75% of those voting members (i.e. parents) present at the meeting must vote in favour of the following special resolution:
the bylaws of the Pacific Heights Elementary School Parent Advisory Council (the “PAC”) need to be updated to reflect current practices and maintain sufficient flexibility; and impose certain constraints regarding expenditures,
BE IT RESOLVED, by special resolution of the voting members of the PAC that:
The existing Bylaws of the PAC be amended in the following manner:
(a) Section VII, Articles 1 and 2 be removed and replaced with:
“1. The executive officers shall be elected on an interim basis at the final general meeting of the prior year. The interim executive positions shall not be official until the executive officers have been elected from the voting members at the Annual General Meeting.
2. The Past President shall conduct elections. In the event that the Past President is not available to do so, a voting member who is not standing for election to an executive officer position shall conduct elections.”
(b) Section IX, Article 2 be removed and replaced with:
“2. No person may hold any one executive officer position for more than two consecutive years, unless (a) the person is elected from the voting members at the Annual General Meeting, and (b) there are no other voting members willing to stand for election to that position.”
(c) Section XIV be amended to add the following:
“8. In the event that an expenditure in excess of $500 is proposed at a general meeting and has not been either (a) included in the budget and tentative plan of expenditures, or (b) previously discussed by the executive officers and disclosed in the general meeting notice,that expenditure may not be presented for approval at that meeting and must instead be tabled and presented for approval at a subsequent general meeting after the voting members have had time to consider the merits of the expenditure.”
